OceanFirst (OCFC) is acquiring Flushing Financial (FFIC) in an all-stock transaction valued at $579 million. Flushing shareholders will receive 0.85 shares of OceanFirst stock for every share they own. The combined bank will operate under the OceanFirst name with about $23 billion in assets across New York and New Jersey. Private equity firm Warburg Pincus is also investing $225 million as part of the agreement. Management expects the deal to close in the second quarter of 2026 and projects it will increase earnings per share by 16% in 2027.
